Terms of Service

agntly (“agntly,” “we,” “us”) is a software service that helps users design and download configuration files (“blueprints”) for AI agents. Through a guided voice or text interview, agntly generates a set of markdown files (CLAUDE.md, AGENTS.md, SOUL.md, MEMORY.md, USER.md, and related supporting files) tailored to the platform the user selects (Claude Code, Cursor, Windsurf, ChatGPT, Obsidian, and others).

By creating an account or using any part of the agntly website, interview flow, or generated files, you agree to these Terms of Service. If you do not agree, do not use the service.

Account creation and authentication are handled by our identity provider (Clerk). You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You agree to:

• Provide accurate information during sign-up and the interview process.
• Use the service only for lawful purposes and in compliance with these terms.
• Notify us promptly at hello@agntly.app if you suspect unauthorized account access.
• Be solely responsible for the agents you build and how you deploy them.

You must be at least 13 years old to create an account. If you are using agntly on behalf of an organization, you confirm that you have authority to bind that organization to these terms.

You agree not to use agntly to:

• Build agents intended to harass, defraud, deceive, or impersonate any person or entity.
• Generate content that is illegal, defamatory, hateful, sexually explicit involving minors, or that promotes violence.
• Reverse engineer, scrape, or attempt to extract our prompts, source code, or generation pipelines.
• Resell or sublicense agntly itself, including white-labeling outside of an Agency-tier agreement.
• Use the service in a way that interferes with normal operation, abuses our infrastructure, or circumvents plan limits.
• Submit content that infringes the intellectual property or privacy rights of others.

We may suspend or terminate accounts that violate this policy, in our reasonable discretion.

agntly offers the following plans. Prices are in U.S. dollars and may change with notice as described below.

• Free — $0. One blueprint and a 48-hour re-download window.
• Starter — $7 per month, billed in advance.
• Pro — $19 per month, billed in advance.
• Agency — custom pricing arranged via hello@agntly.app.

Paid plans are processed by Stripe. We do not see, store, or transmit your full card number. By subscribing you authorize Stripe to charge your payment method on a recurring basis until you cancel.

We may change plan pricing for future billing cycles by posting updated pricing on the website and emailing active subscribers at least 30 days before the change takes effect.

• Within 7 days of your first payment on any paid plan you may request a full refund by emailing hello@agntly.app.
• Once you have downloaded a generated blueprint zip file, that blueprint is non-refundable, regardless of whether 7 days have passed.
• Refunds are not available after the 7-day window or on renewal payments.
• You can cancel your subscription at any time from the Vault dashboard. Cancellations take effect at the end of the current billing period — you keep access until then.

The blueprints generated for you — the markdown files and any accompanying templates produced by an interview — are yours. You can keep them, edit them, share them, and use them for any purpose, including commercial use.

We retain ownership of the agntly service itself: the website, the interview flow, the generation prompts, the orchestration code, the agntly trademarks, the brand assets, and the look and feel of the product. You receive no license to those except as needed to use the service.

You grant agntly a limited license to process your interview responses for the sole purpose of generating your blueprint and operating your account.

The agntly service depends on third-party processors, including Clerk (authentication), Stripe (payments), Supabase (database), Cloudflare R2 (file storage), Anthropic (AI processing), and Vercel (hosting). Their availability, uptime, and policies affect the service. The full list, with links to each provider’s privacy policy, lives in our Privacy Policy.

agntly is provided “as is” and “as available.” We do not warrant that the service will be uninterrupted, error-free, or fit for any particular purpose. Generated blueprints are starting points — they are not legal, tax, medical, or other professional advice, and they should be reviewed before being deployed to any production system.

To the maximum extent permitted by applicable law, agntly and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the service.

Our total aggregate liability for any claim arising out of or relating to the service will not exceed the greater of (a) the amount you paid agntly in the 12 months preceding the claim or (b) one hundred U.S. dollars (USD $100).

You agree to indemnify and hold agntly harmless from any claim, loss, or expense (including reasonable attorneys’ fees) arising from (a) your misuse of the service, (b) your violation of these terms, or (c) the agents you build and the way you deploy them.

You may close your account at any time from the Vault dashboard or by emailing hello@agntly.app. We may suspend or terminate your account, with or without notice, if you violate these terms, fail to pay, or abuse the service. Sections that by their nature should survive termination — IP, disclaimers, limitation of liability, indemnity, governing law — will survive.

We may update these terms from time to time. If a change is material we will post the updated terms here, update the “Last updated” date, and email active users at least 14 days before the change takes effect. Continued use of the service after the effective date constitutes acceptance of the updated terms.

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or the service will be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction there.
